Scope

These Terms of Service govern your use of the Arkwright Solutions website and any pre-contract discussions through it.

Project-specific statements of work, proposals, and signed agreements take precedence where they differ from these website terms.

Services and proposals

We provide advisory and engineering services focused on practical AI adoption, delivery, and operational reliability.

Any quoted scope, timeline, deliverables, and acceptance criteria are set out in writing before work begins.

Client responsibilities

To deliver safely and on time, clients must provide accurate information and timely access.

  • Provide complete and lawful instructions, data, and materials.
  • Confirm decision-makers and approval routes early.
  • Maintain appropriate internal controls for sensitive systems and data.
  • Review deliverables promptly and raise issues quickly.

Fees and payment

Fees, payment schedules, and assumptions are defined in each proposal or contract.

Unless otherwise agreed, invoices are due within the period stated on the invoice and may accrue statutory interest where late payment rules apply.

Intellectual property

Each party keeps ownership of its pre-existing intellectual property, methods, and tools.

Ownership and usage rights for project outputs are defined in the relevant proposal or agreement.

We may retain general know-how and non-confidential learning gained while delivering work.

Confidentiality and data handling

Both parties must treat confidential information as confidential and use it only for agreed purposes.

Where personal data processing is involved, both parties agree to comply with applicable UK data protection law and any agreed data processing terms.

Website acceptable use

You must not misuse this site, interfere with its operation, or attempt unauthorised access.

You must not submit unlawful, harmful, or infringing content through forms or resource request flows.

Liability and disclaimers

This site and its content are provided on an "as available" basis for general information. They do not constitute legal, financial, or regulatory advice.

To the maximum extent permitted by law, we exclude implied warranties and limit liability for indirect or consequential losses.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be excluded under the laws of England and Wales.

Suspension and termination

We may suspend access to website features where required for security, maintenance, legal compliance, or misuse prevention.

Termination rights for paid project work are governed by the relevant signed agreement.

Governing law and jurisdiction

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, unless mandatory law states otherwise.
